Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Insygna Corporation website located at insygna.com and any related services (collectively, the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
Insygna Corporation ("Insygna," "we," "our," or "us") is a Delaware corporation. These Terms constitute a legally binding agreement between you and Insygna.
2. Modifications to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 10 days' notice of material changes by posting the updated Terms on the Site with a revised effective date. Your continued use of the Site after the effective date of any changes constitutes your acceptance of the modified Terms.
3. Eligibility
The Site is intended for use by individuals who are at least 18 years of age and have the legal capacity to enter into binding agreements. By accessing the Site, you represent and warrant that you meet these requirements. If you are accessing the Site on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

Subject to your compliance with these Terms, Insygna grants you a personal, limited, non-exclusive, non-assignable, non-sublicensable, non-transferable, and revocable right to access and use the Site for your personal or internal business purposes only. This license does not include any rights to resell or commercially exploit the Site or its content.

- Copy, reproduce, distribute, or create derivative works from any content on the Site without our prior written consent
- Reverse engineer, decompile, or disassemble any software or technology underlying the Site
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@insygna.com of any unauthorized access to or use of your account. Insygna is not liable for any loss or damage arising from your failure to protect your account credentials.
7. Intellectual Property Rights
All content, materials, software, trademarks, service marks, logos, and other intellectual property on the Site are owned by or licensed to Insygna and are protected by applicable intellectual property laws. You are granted a limited license to access and use the Site for informational purposes only. No other use is permitted without our prior written consent. All rights not expressly granted are reserved by Insygna.
"Insygna," the Insygna logo, and related marks are trademarks or service marks of Insygna Corporation. You may not use these marks without our prior written permission.
8. User Submissions
If you submit content, feedback, suggestions, ideas, or other materials to Insygna through the Site ("Submissions"), you grant Insygna a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Submissions for any purpose. You represent that you have all rights necessary to grant this license and that your Submissions do not violate any third-party rights.
9. Cookies and Tracking
The Site uses cookies and similar tracking technologies as described in our Privacy Policy. By using the Site, you consent to the use of cookies in accordance with our Privacy Policy. You may configure your browser settings to refuse cookies, though some functionality may be affected.

13. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INSYGNA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. INSYGNA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INSYGNA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF INSYGNA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL INSYGNA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).
15. Indemnification
You agree to defend, indemnify, and hold harmless Insygna and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Site; (b) your Submissions; (c) your violation of these Terms; or (d) your infringement of any third-party rights.
16. Term and Termination
These Terms are effective from the first time you access the Site and continue until terminated. Insygna may terminate or suspend your access to the Site at any time, without notice, for any reason, including if we believe you have violated these Terms. You may terminate your agreement to these Terms at any time by ceasing all use of the Site. Sections 7 through 23 of these Terms survive termination.
17. Independent Contractors
Nothing in these Terms creates or implies any partnership, joint venture, agency, franchise, or employment relationship between you and Insygna. You have no authority to bind Insygna in any way.
18. Assignment
Insygna may assign these Terms or any rights or obligations under these Terms without restriction. You may not assign these Terms or any of your rights or obligations under these Terms without Insygna's prior written consent. Any purported assignment without consent is void.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes arising out of or relating to these Terms or the Site. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply to these Terms.
20. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
21. Waiver
No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of Insygna. No failure or delay by Insygna in exercising any right under these Terms will constitute a waiver of that right.
22. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Insygna with respect to your use of the Site and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the same subject matter.
